  • Event planning and integrated campaigns
  • Thought leadership programs
  • Community outreach and reputation management

All services are subject to availability and mutual agreement between the Company and Client.

3. Service Engagement

3.1 Scope of Work

Services are provided based on agreed-upon scope, deliverables, timeline, and pricing as outlined in individual service agreements or proposals. Monthly retainers typically begin at $3,000, while project-based campaigns start at $5,000.

3.2 Client Responsibilities

Clients agree to:

  • Respond to requests for feedback or approvals within agreed timeframes
  • Obtain necessary internal approvals before authorizing media outreach or public statements
  • Maintain confidentiality of strategic plans and proprietary methodologies shared by NS Public Relations

3.3 Timeline and Results

While some PR tactics may generate immediate results, sustainable public relations success typically requires 3-6 months. We provide monthly progress reports and establish realistic milestones, but cannot guarantee specific media placements, coverage volume, or business outcomes as these factors involve third-party decisions beyond our control.

4. Payment Terms

4.1 Fees and Invoicing

  • Monthly retainer fees are due at the beginning of each month
  • Project fees are outlined in individual agreements
  • Invoices are payable within 15 days of receipt
  • Late payments may incur interest charges of 1.5% per month
  • All fees are non-refundable except as specifically stated in individual service agreements

4.2 Expenses

Client will reimburse reasonable expenses incurred on their behalf, including but not limited to media monitoring services, distribution services, travel, and event costs. All expenses over $500 require prior client approval.

5. Intellectual Property

5.1 Client Materials

Clients retain ownership of all materials, information, and content provided to NS Public Relations. By providing such materials, Client grants us a license to use them solely for providing services under our agreement.

5.2 Work Product

All strategies, press releases, media lists, messaging frameworks, and other materials created by NS Public Relations specifically for Client (“Work Product”) become Client property upon full payment. However, NS Public Relations retains the right to use general knowledge, skills, experience, and methodologies developed during the engagement.

5.3 Company Property

Our proprietary methodologies, templates, processes, and general materials remain the exclusive property of NS Public Relations. Case studies and portfolio use require written client permission.

6. Confidentiality

Both parties agree to maintain confidentiality of sensitive information shared during the engagement, including:

  • Strategic plans and business information
  • Unpublished news and announcements
  • Proprietary methodologies and approaches
  • Financial information

This obligation survives termination of the service agreement.

7. Media Relations and Disclaimers

7.1 No Guaranteed Placement

NS Public Relations will use best efforts to secure media coverage, but cannot guarantee specific placements, publication timing, or coverage tone as editorial decisions rest solely with media outlets.

7.2 Media Accuracy

We are not responsible for inaccuracies, omissions, or editorial changes made by journalists or media outlets. We will work to address factual errors when they occur.

7.3 Third-Party Actions

We are not liable for actions, statements, or coverage by journalists, media outlets, social media users, or other third parties.

8. Crisis Management

For crisis management and special situations services, response times and service levels are specified in individual crisis retainer agreements. While we provide strategic counsel and rapid response, client must make final decisions on crisis communications actions.

9. Termination

9.1 Termination by Either Party

Either party may terminate services with 30 days written notice. Client remains responsible for payment of all fees through the notice period and any outstanding expenses.

9.2 Immediate Termination

We reserve the right to immediately terminate services if Client:

  • Fails to make timely payments
  • Provides false or misleading information
  • Engages in illegal activities or requests services that violate ethical standards
  • Materially breaches these Terms

9.3 Effect of Termination

Upon termination:

  • Client must pay all outstanding fees and expenses

10.3 Excluded Damages

We are not liable for indirect, incidental, consequential, or punitive damages including lost profits, lost business opportunities, or reputational harm, except where caused by our gross negligence or willful misconduct.
